法務顧問/ Legal Counsel

A global financial services institution is looking for a Legal Counsel. The selected candidate will provide legal advice on transactions, regulations, contracts, and cross-border projects across securities, derivatives, and structured products.

Responsibilities:

• Draft and review transaction documents for securities, derivatives, and structured products
• Negotiate contract terms and propose practical legal solutions
• Advise on Japanese law and cross-border regulatory requirements
• Partner with business, compliance, and control teams to strengthen regulatory operations
• Support new products, initiatives, and templates with legal and regulatory guidance
• Manage external counsel and communicate key legal issues to stakeholders

Requirements:

• More than 3 years of practical experience drafting, reviewing, and negotiating contracts (not limited to financial transactions, M&A-related contracts is ideal)
• Experience managing multiple matters concurrently, prioritising effectively, and delivering work products by deadlines
• Prior experience researching and organising unfamiliar or out-of-scope legal issues and producing written work product (including recommended approach)
• Proficient in MS Office Suite
• Possess valid law qualification in Japan
• Native level Japanese; proficient in written and verbal English

Preferred requirements:

• Experience in any financial transactions such as securities trading, securities lending/borrowing, securities offerings/issuance, derivatives, structured products, or loan transactions
• Prior experience researching and advising on financial regulations
• Proven experience working effectively with multiple stakeholders to move matters forward
• Background in cross-border matters and/or collaborating with overseas stakeholders
