商業契約マネージャー/ Commercial Contracts Manager

A global financial services company is looking for a Commercial Contracts Manager. The selected candidate will lead commercial contracting for Japan, advise business teams, manage Japanese execution requirements, and support broader legal operations. This is a flexi-time and contract role.

Responsibilities:

• Manage commercial contracting activities and provide legal support to the Japan business
• Draft, review, negotiate, and manage a range of commercial agreements
• Partner with internal stakeholders on contractual and legal matters
• Represent the Legal function in business discussions and negotiations
• Oversee contract execution and ensure compliance with applicable requirements
• Support bilingual contracting and adapt global agreements for the Japanese market
• Provide guidance on legal matters and escalate complex issues where appropriate
• Support broader corporate, commercial, and operational legal activities
• Coordinate with external legal counsel and other professional advisers
• Contribute to legal processes, resources, and operational improvements

Requirements:

• Bachelor’s degree or above in Japanese or foreign law or an LLM
• More than 6 years of commercial contracting experience, including meaningful in-house or secondment experience at a multinational company
• Experience in general commercial, SaaS and procurement, sales and partnership, data processing, and payments-industry agreements
• Background in contracts management
• Prior background in managing an in-house contract portfolio
• Proven background with contract technology (CLM and e-signature platforms, Google Workspace, Slack, and AI-assisted review tools)
• Understanding of Japanese execution requirements (seals, seal certificates, signing authority verification, stamp duty, and electronic signature validity)
• Possess valid paralegal qualification
• Native level Japanese; business level English

Preferred requirements:

• Experience developing or localising contract templates and self-service intake processes
• Prior technology, fintech, or payments experience
• Proven experience with merchant-facing or consumer-facing terms of service in Japanese
• Previous experience acting as the sole in-market contracting resource for a US-headquartered company
• Understanding of the Japanese regulatory environment as it affects contracts (payments, installment sales, banking partnerships, data protection and cross-border transfers, vendor oversight, subcontracting, competition, and consumer transactions)
