A multinational investment and asset management organisation is seeking a Senior Associate, Investments - Legal. The selected candidate will provide strategic legal advice, lead transaction execution and investment consortium arrangements, and support corporate securities matters across Japan and the wider Asia Pacific region.

Responsibilities:

• Work across integrated teams across Japan and the wider Asia Pacific region
• Execute a full range of legal matters arising from complex, multi-faceted transactions, including private and public company mergers and acquisitions, lending and structured finance
• Manage and advise on legal and commercial risks associated with transactions, including potential impacts, mitigating actions, conflicts matters and fund compliance matters
• Advise on the accurate interpretation of contract documents, bond indentures and other relevant documents relating to prospective investments and existing portfolio companies
• Support the real estate group operation and finance team on relevant legal matters
• Review and advise on capital management initiatives and documentation
• Monitor the company’s broader strategy and legal developments affecting the Real Estate group, its clients and industries
• Provide litigation support as needed
• Manage specific external legal engagements and liaise with external legal advisers
• Review legal advice issued by external legal advisers and communicate such advice to internal stakeholders
• Build collaborative relationships with relevant personnel from management and Group functions including Tax, Accounting, Risk and Compliance
• Oversee and provide guidance and support to lawyers in the Real Estate Group across the region

Requirements:

• Bachelor’s degree or above in Legal related discipline
• More than 5 years of experience in M&A, finance, equity capital markets or debt capital markets legal work within a top-tier law firm and/or large multinational organisation
• Strong understanding of complex and growing organisational structures
• Good understanding of various types of legal structures including GKs, TMKs and ISHs
• Understanding of company culture and values
• Ability to assess legal and compliance consequences across processes and establish appropriate pathways for desired outcomes
• Bilingual level Japanese and English
