法務顧問/ Legal Counsel

An international chemical company is looking for a Legal Counsel. The chosen applicant will be responsible for acting as a trusted business partner, providing practical and solution-oriented legal advice to support the business. This is a hybrid role.

Responsibilities:

• Serve as a hands-on, pragmatic and strategic partner in business and legal decisions
• Review, draft and negotiate commercial agreements with customers, suppliers and other business partners
• Carry out internal investigations in compliance matters
• Analyse legal and regulatory developments relevant to the Company and provide solution-oriented advice
• Report on projects, opportunities, results, issues and concerns to the Management and business leaders of applicable functions and proactively advise on different options, scenarios, benefits and risks
• Provide internal training and ensure that legal and compliance activities adhere to and adequately support the policies and strategies set by Sika
• Develop and maintain an expansive network with relevant stakeholders to navigate within a heavily matrixed organisation, foster collaborative decision-making and gain consensus and alignment
• Provide advice with respect to assessing both legal and reputational risks arising out of contemplated transactions
• Provide significant cross-functional collaboration with operational and functional leaders on issues such as compliance, tax, finance, treasury, risk management, labour and employment, real estate, IP, IT, litigation, EHS, and communications
• Be an energetic team member and hands-on, “can do” lawyer who promotes a collegiate and collaborative culture within the organisation and high levels of engagement and motivation
• Drive continuous improvement in the quality, delivery and cost of services to the Company

Requirements:

• Qualified lawyer admitted to the Japanese Bar Association (Bengoshi) or a recognised overseas jurisdiction
• More than 3 years of post-qualification experience (PQE) in a law firm or in-house legal department
• Experience in drafting, reviewing, and negotiating commercial agreements
• Sound knowledge of Japanese commercial laws and regulations, with the ability to provide practical and business-oriented legal advice
• Experience advising internal stakeholders on a broad range of legal and compliance matters
• Strong interpersonal, communication, and stakeholder management skills
• Native level Japanese; business level written and verbal English

Preferred Requirements:

• Experience in one or more of the following areas: Compliance and ethics, Competition/antitrust law, Commercial contracting, Employment law, Dispute resolution and litigation management, Legal support to E-commerce or retail business, and Corporate/M&A transactions
• Experience of working in a manufacturing company
• Experience of working in a multinational company or supporting cross-border transactions and projects
• Familiarity with APAC regional legal and compliance issues
• Demonstrated ability to lead projects and drive process improvements
