法務顧問/ Legal Counsel

An international eyewear company is searching for a Legal Counsel. The selected applicant will provide comprehensive legal support across contracts, compliance, regulatory matters, transactions, and litigation. This is a hybrid setup role.

Responsibilities:

• Draft, review, and coordinate signatures for local Japanese law and international contracts including distribution, supply, rebates, services, advertising, sponsorship, leases, loans, and collaterals
• Assist HR with employment law matters, employment contracts, and related issues
• Review marketing and advertising materials, product claims, labels, warranties, and ensure compliance with consumer law, product liability, export/import regulations, medical device and health product laws, coordinating with regulatory teams or external firms on licenses, permits, and permissions
• Implement Legal & Compliance policies and procedures including data privacy, ABC and AML, KYC, compliance checks, conflict of interest policies; act as Compliance Officer and provide training sessions; assist audit and HR teams with investigations when needed
• Maintain legal systems by inserting corporate and contract documents into required files and systems and provide monthly litigation and related reports
• Support litigation prevention and manage litigation involving the company and subsidiaries by coordinating defenses, witnesses, evidence, hearings, and managing costs and exposures
• Provide legal assistance on local and international projects and transactions including NDAs, LoAs, MoUs, due diligence support, and review of SPAs and SHAs with local inputs
• Support antitrust and competition law compliance, filings, analysis, and provide required training sessions

Requirements:

• More than 5 years of experience in corporate, commercial law (contracts) and consumer law
• Experience in both in law firms in Japan and inhouse companies
• General knowledge of IP law, commercial litigation and arbitration
• Knowledge of legal budget preparation and management
• Knowledge of compliance
• Proficient in MS Office; Word (advanced), Excel, and PowerPoint
• Native level Japanese; fluent level English (legal terminologies)

Preferred requirements:

• Qualified lawyer in Japan with formal Japanese Bar Association registry or a Legal Specialist with legal experience as a lawyer
• Knowledge of antitrust or competition law and requirements
