A storage management firm is looking for a Corporate Paralegal. The chosen candidate will prepare and file corporate governance documents, including articles of incorporation, bylaws, resolutions, and annual reports.
Responsibilities:
- Assist with organising and documenting board meetings, including preparing agendas, minutes, and resolutions
- Coordinate completeness of annual filings for group companies
- Assist in the management of compliance programs and policies for the group companies
- Manage the lifecycle of corporate governance documents and key contracts from creation to storage, retrieval, and disposal
- Design and maintain a centralised database of all corporate governance documents and key contracts
- Assist in the preparation and execution of corporate transactions, such as lender financing, bond issuance, and stock issuance
- Collaborate with attorneys, paralegals, and other professionals to streamline document workflows
Requirements:
- Bachelor’s degree or equivalent in legal studies, business administration, or a related field
- 3-5 years of experience as a paralegal (corporate or law firm setting is preferred)
- Experience in corporate governance, contract management, or compliance
- Background in reviewing formal English and Japanese documents
- Proficient in document management software (eDiscovery tools, document repositories), and MS Office Suite
- Strong written and verbal communication skills
